Terms of Sales

These Terms of Sales govern the purchase and sale of marketing campaigns and promotional services on the BeBuzz Platform. They apply to every Campaign created, distributed, or paid for on BeBuzz.

01Introduction

Welcome to BeBuzz, operated by TALKTO LLC, a California limited liability company doing business as "BeBuzz". These Terms of Sales ("Sales Terms") govern the relationship between BeBuzz and its users for the sale and purchase of marketing campaigns on the Platform.

These Sales Terms operate in conjunction with our Terms and Conditions of Use and Politique de confidentialité. In case of conflict between documents, the Terms and Conditions prevail for matters of platform use, and these Sales Terms prevail for matters of payment, pricing, refunds and delivery.

By creating, paying for, or distributing a Campaign on BeBuzz, you accept these Sales Terms in full.

02Definitions

"Platform"
The BeBuzz website, brand dashboard, and BeBuzz mobile applications operated by TALKTO LLC.
"Campaign" or "Buzz"
A marketing activation containing a video, a redirection link, targeting criteria, a budget, and one or more Deals offered to creators.
"Brand"
The buyer of a Campaign. Brands fund the Campaign and approve the content before publication.
"Creator" or "Buzzer"
The seller side of a Deal. Creators receive offers from the Platform and publish accepted Campaigns on their personal social networks.
"Deal"
A single offer to publish a Campaign, made to one creator, at a price set algorithmically by BeBuzz. Creators have a 60-second window to accept or decline, with no negotiation.
"BeBuzz AI"
The matching system that connects Campaigns with eligible creators.
"Wallet"
The digital account inside the Platform where users hold funds.

03Sales terms

These Sales Terms govern the purchase, sale and distribution of Campaigns on the Platform.

Brands are responsible for ensuring that Campaign content complies with applicable laws and the Platform's content guidelines. Creators are responsible for publishing content as agreed and for FTC-compliant disclosure of the paid partnership.

04Campaign process

The standard sale-and-distribution flow:

  1. Brief and upload. The Brand uploads the video asset, CTA link, categories, geography and budget.
  2. Match. BeBuzz AI matches the Campaign to eligible creators across 40+ data points.
  3. Price. The algorithm sets a price for each individual Deal in the bundle.
  4. Approve the bundle. The Brand sees the full set of matched creators with their algorithm-set prices and approves the whole pool or walks.
  5. Deal offer. Creators receive the Deal in-app with a 60-second window to accept or decline.
  6. Record and submit. Accepted creators record the content and submit it for brand review.
  7. Approve content. The Brand reviews the submitted content within 24 hours, with one round of revision permitted.
  8. Publish. Approved content goes live on the creator's social networks.
  9. Track and settle. Engagement is tracked per creator. Settlement occurs upon successful publication.

05Payment and pricing

Campaign payments are processed through a secure third-party payment processor. Supported payment methods currently include credit and debit cards, bank transfers, and selected digital wallets. The full list of supported methods is shown at checkout.

06Wallet and withdrawals

The BeBuzz Wallet is the central account for funding Campaigns, receiving payouts, and processing withdrawals.

07Commission

BeBuzz charges a commission on each Deal. The standard commission rate is 25% of the Deal value, applied to the Brand's spend. Specific Campaign categories or promotional programs may carry a different rate ranging from 5% to 30%. The applicable rate is disclosed to the Brand before payment is authorized.

Commission fees support Platform operation, infrastructure, customer support, compliance, and ongoing product development. BeBuzz reserves the right to adjust commission rates with at least 7 days' notice for non-promotional changes.

08Performance and delivery

BeBuzz facilitates the matching, contracting, and tracking of Campaigns, but does not guarantee specific Campaign outcomes (impressions, clicks, conversions, sales). Performance metrics displayed on creator profiles are estimates calculated from historical engagement data and do not constitute a warranty.

09Cancellations and refunds

Brands may cancel a Campaign before any Deal in that Campaign has been accepted by a creator, in which case the Wallet is credited for the full Campaign amount net of any administrative processing fee disclosed at the time of cancellation.

After at least one Deal has been accepted, refunds are pro-rated based on the status of the Deals in the Campaign. Detailed refund rules are available in the help center and shown to the Brand during the cancellation workflow.

VIP Badge subscriptions are not refundable on a pro-rata basis. Cancellation takes effect at the end of the current billing period.

Disputes arising from these Sales Terms are governed by the dispute resolution and arbitration provisions in our Terms and Conditions. These Sales Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Exclusive jurisdiction is in the state or federal courts located in San Francisco County, California.
